Welcome to ClinSpec Solutions. These Terms and Conditions ("Terms") govern your access to and use of clinspecsolutions.com (the "Site") and the virtual reality (VR) vascular access training software, performance tracking, 1:1 coaching, and related services provided by ClinSpec Solutions, LLC ("we," "us," or "our").

By accessing our Site, purchasing a subscription, or using our training platform, you ("you," "your," or "User") agree to be bound by these Terms. If you are entering into these Terms on behalf of a hospital, clinic, university, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Description of Services

ClinSpec Solutions provides advanced clinical simulation tools, including VR training modules (which may integrate with third-party software like SimX), standalone VR hardware software packages, performance tracking, data analytics, and professional feedback/coaching (collectively, the "Services").

 

2. Eligibility and Account Registration

  • Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to use our Services.

  • Accounts: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information. You are solely responsible for safeguarding your account credentials and for any activity that occurs under your account.

  • Account Sharing: Individual accounts may not be shared. Institutional or Enterprise accounts must only be accessed by authorized students, staff, or clinicians assigned by the purchasing institution.

 

3. Subscriptions, Fees, and Payments

  • Pricing: All prices for subscriptions, software access, and coaching packages are as listed on our Site or detailed in an executed institutional order form.

  • Billing & Renewal: Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually). Unless canceled, your subscription will automatically renew at the end of each billing cycle.

  • Refund Policy: All sales and subscription fees are non-refundable unless explicitly stated otherwise in a separate written agreement or required by applicable law.

  • Changes to Fees: We reserve the right to modify our pricing at any time. We will provide you with reasonable advance notice of any price changes before they take effect.

 

4. Intellectual Property and Software License

  • Limited License: Subject to these Terms and the payment of applicable fees, ClinSpec Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use our software and training modules solely for educational and training purposes.

  • Ownership: ClinSpec Solutions and its licensors (including partner platforms like SimX, where applicable) retain all rights, title, and interest in and to the software, website content, VR modules, branding, graphics, and proprietary methodologies.

  • Restrictions:  You agree NOT to:

    • Copy, modify, decompile, reverse-engineer, or attempt to extract the source code of our software.

    • Use our Services to build a competitive product or service.

    • Use the training content for public broadcast without our express written permission.

 

5. Medical Education Disclaimer

  • For Educational Purposes Only: CLINSPEC SOLUTIONS PROVIDES EDUCATIONAL AND SIMULATION TRAINING TOOLS ONLY. OUR SERVICES DO NOT PROVIDE MEDICAL DIAGNOSES, TREATMENTS, OR DIRECT CLINICAL ADVICE.**

  • No Substitution for Professional Judgment: The VR scenarios and performance tracking metrics are designed to supplement professional medical education and clinical training. They are not a substitute for clinical judgment, hands-on preceptorship, or institutional protocols.

  • Patient Care: ClinSpec Solutions is not responsible or liable for any real-world patient outcomes, complications, or medical malpractice claims resulting from a user's subsequent performance of vascular access or any other medical procedure.

 

6. User Conduct and Enterprise Responsibilities

  • Prohibited Conduct: You agree not to use the Site or Services for any unlawful purpose, to transmit malware, or to disrupt the security and integrity of our network.

  • Enterprise Accounts: Sponsoring institutions (hospitals, schools, clinics) are responsible for ensuring that all users they authorize comply with these Terms. Sponsoring institutions acknowledge that they will have access to user performance metrics as outlined in our Privacy Policy.

 

7. Limitation of Liability

TO the MAXIMUM EXTENT PERMITTED BY LAW, CLINSPEC SOLUTIONS, LLC, ITS AFFILIATES, OFFICERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OUR SERVICES.

  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES (INCLUDING VR HARDWARE COMPLIANCE OR THIRD-PARTY SOFTWARE FAILURES).

  • ANY REAL-WORLD CLINICAL ACTIONS OR OUTCOMES UNDERTAKEN BY THE USER.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO CLINSPEC SOLUTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

 

8. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CLINSPEC SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or infringes upon our intellectual property rights. You may cancel your subscription at any time through your account dashboard or by contacting support.

 

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of **[Insert State, e.g., Texas]**, without regard to its conflict of law provisions.
